Customer User – refers to any individual who is at least 18 years old, or has reached the age of legal majority as defined by the applicable laws of their country of residence, as well as any legal entity or organization without legal personality that is granted legal capacity by law. Individuals under the age of majority may access and use the Website and its services only with the explicit consent and under the direct supervision of a parent or legal guardian.

Login or Registration Form – a digital form provided on the Website or via an external platform, designed for users to create or access their Account.

Order Placement and Sales Agreement: a form available on site allows users to place orders and thereby enter into a binding Sales Agreement with us. By completing and submitting an order you agree to the terms of the Sales Agreement as outlined on the Site.

Account – a personalized set of resources within the SEOSMO Tool system, identified by a unique username (login/email) and secured with a password chosen by the User, where the User’s data and information are stored and managed

Payment Operator – a payment processing entity operating in India, responsible for handling online transactions securely on behalf of the Site. The Payment Operator is a registered company under Indian law, compliant with all applicable regulations governing digital payments and financial services.

Regulations these terms and conditions govern the use of the Website and Electronic Services in accordance with the Information Technology Act, 2000 (as amended) and the rules framed thereunder, including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, which define the legal framework for providing and accessing electronic services in India.

Electronic Service – a service delivered remotely without the simultaneous physical presence of the parties, involving the transmission of data at the individual request of the service recipient. This data is sent, received, and processed through electronic equipment, including digital compression and storage, and is fully transmitted or received via a telecommunications network as defined under the Indian Information Technology Act, 2000, and the Indian Telegraph Act, 1885, along with relevant rules and regulations governing electronic communications.

SEOSMO Service – a digital service or a digital content delivery service offered through the Website, provided in accordance with the applicable provisions of the Indian Consumer Protection Act, 2019, and the Consumer Protection (E-Commerce) Rules, 2020.

Price List – the current subscription pricing details available on the SEOSMO website at seosmo.tools, outlining the applicable charges for each type of subscription plan. In the event the User activates a second or additional slot, the pricing may be adjusted according to the terms specified in the Price List.

Billing Period – the duration for which the User is charged subscription fees for access to the Service. For monthly subscriptions, the billing period is 30 consecutive calendar days. For annual subscriptions, it is 12 months, calculated as 365 consecutive calendar days. All subscription fees for services offered on the Website are payable in advance at the beginning of each billing period.

Privacy Policy – seosmo.tools/privacy-policy a document that outlines how SEOSMO collects, uses, stores, and protects personal data, in accordance with applicable data protection laws.

Consumer – a User who is an individual entering into an agreement with SEOSMO for purposes that are wholly or predominantly unrelated to their trade, business, or professional activity, as determined based on the nature of their registered business activity, if any, as per the records maintained under the relevant government business registration systems.

General Provisions

Scope of Regulations These Terms and Conditions set forth the rules for using the SEOSMO website ("Site") and govern the process and conditions for entering into Sales Agreements between SEOSMO and the Customer through remote means (i.e., online via the Site).

Formation of Sales Agreement A Sales Agreement between the Customer and SEOSMO is deemed to be concluded once the Customer completes the purchase process on the Site and the corresponding payment is successfully credited to SEOSMO’s designated bank account.

Confirmation of Agreement As confirmation of the Sales Agreement, SEOSMO will send an email to the Customer’s registered email address. This email will include a tax invoice, receipt, or any other document evidencing the conclusion of the Sales Agreement.

Commencement of Service Delivery SEOSMO will commence the provision of the selected service immediately upon successful payment confirmation. By making the payment, the Customer expressly agrees to the immediate initiation of the service, thereby waiving the right to withdraw from the agreement, except in cases outlined in Sections 9 and 10 of these Terms and Conditions.

Privacy Policy Detailed information regarding the processing and protection of personal data is outlined in SEOSMO’s Privacy Policy, available at https://seosmo.tools/privacy-policy. The Privacy Policy constitutes an integral part of these Terms and Conditions. By entering into a Sales Agreement on the Site, the Customer voluntarily provides their personal data and consents to its processing in accordance with the Privacy Policy.

Technical Requirements

To access and use the SEOSMO Service effectively, the Customer must meet the following minimum technical requirements:

• A device (such as a computer, tablet, or smartphone) capable of accessing online resources;
• A stable internet connection;
• An up-to-date web browser (such as Google Chrome, Safari, Microsoft Edge, or Mozilla Firefox) that supports secure SSL encryption, or one of the three latest supported versions of the Android operating system;
• An active and functional email address;
• The operating system and browser in use must still be officially supported by their respective developers and hardware manufacturers

Ordering of Services (Subscriptions)

Service Orders
Orders for SEOSMO services can be placed through the official website at [insert SEOSMO URL]. By subscribing to a paid plan as listed in the Price List, Users gain access to additional features and tools. Users may choose between the free “Basic” plan or opt for a renewable subscription (monthly or annually).

Slot-Based Subscriptions
Each subscription is linked to a specific Slot within the User's account. Users may manage multiple Slots, each with a separate subscription. Deactivating a Slot ends its subscription at the end of the billing period.

Invoicing and Payment
Invoices are sent to the User’s registered email address. Payment must be made online immediately after placing an order. Failure to complete payment will result in cancellation of the order. International transactions are supported via card payments only. For invoice issuance, valid company details including a GSTIN (if applicable) must be provided.

Pricing and Promotions
SEOSMO reserves the right to revise prices or introduce promotions, but changes will not affect previously confirmed orders.

Confirmation and Activation
Service activation begins immediately after successful payment, and confirmation is sent via email. By proceeding with the order, the User consents to the immediate commencement of service and acknowledges waiver of the right to withdraw post-activation.

User Consent and Data Processing
Before placing an order, Users must read and accept the Terms & Conditions and Privacy Policy. Under Section 4(a) and Section 6 of the Digital Personal Data Protection Act, 2023, the User's personal data is processed lawfully and with explicit consent, only for the purpose of fulfilling the subscription and related services.

Copyright Protection All content available on the SEOSMO website—including but not limited to images, text, graphics, logos, and other materials—is either the exclusive property of SEOSMO or has been used with proper authorization from the respective copyright holders. Unauthorized copying, reproduction, distribution, or republication of any content from the website—whether for online publication, commercial use, or promotional purposes—is strictly prohibited without prior written permission from SEOSMO or the rightful copyright owner. Downloading or using any materials from the Site for commercial, promotional, or public purposes without explicit written consent is a violation of copyright and intellectual property laws in India under the Copyright Act, 1957. Any unauthorized use, adaptation, or reproduction of SEOSMO’s protected content may result in legal action, including claims for damages, injunctions, or other remedies as available under applicable law.

FINAL PROVISIONS

Governing Law and Jurisdiction
Any disputes arising between SEOSMO and the Customer, where the Customer qualifies as a Consumer under Indian consumer protection laws, shall be subject to the exclusive jurisdiction of the courts located in the Consumer's place of residence or domicile in India.

Applicable Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of India, including but not limited to the Consumer Protection Act, 2019, and other relevant Indian statutes.

Amendments to Terms
SEOSMO reserves the right to modify or update these Terms and Conditions at its sole discretion. Any such amendments will become effective 14 (fourteen) days after being published on the SEOSMO website.

Notification of Changes
Customers will be notified of changes to these Terms by publication on SEOSMO’s official website. The notice will include the effective date of the changes and a summary of the modifications, which will remain publicly accessible for at least 14 (fourteen) consecutive calendar days.

Customer Responsibilities
Customers are solely responsible for ensuring that their use of SEOSMO tools complies with all applicable laws and regulations, including the terms set forth herein. Any unlawful use, submission of false information, or infringement of intellectual property or personal rights by the Customer shall be the Customer’s sole responsibility.

Right to Terminate Services
SEOSMO reserves the right to suspend or terminate access to its services immediately if it reasonably suspects that the Customer has violated any applicable laws or these Terms and Conditions.

In accordance with Sections 4(a) and 6 of the Digital Personal Data Protection Act (DPDPA), any disputes arising between SEOSMO and the Customer, who qualifies as a Consumer under Indian law, shall be subject to the exclusive jurisdiction of the courts in the Consumer’s place of residence or domicile. These Terms and Conditions shall be governed by and interpreted in accordance with the laws of India, including the Digital Personal Data Protection Act, 2023, and other relevant statutes regulating consumer protection and electronic services.
